Workflow Products, LLC [WFP] Terms and Conditions:
WFP does not enter into verbal contractual arrangements. Client acknowledges that WFP employees are not authorized to enter into verbal contractual arrangements.
WFP policy prohibits employees from entering into any contract or legal agreement with Client for any reason.
WFP employees are not authorized to guarantee project cost, duration or completion date. Client acknowledges that any such representations provided by WFP employees are non-binding.
WFP bills for Services by the hour. If a WFP employee is working on a Client project in such a way that the agent cannot bill for another client, then the employee is fully engaged and must bill for time. Billed activities include but are not limited to: travel to site, time on-site, meetings, phone calls, reading emails from the client and replying to emails from the client.
WFP does not issue refunds for Services.
WFP has minimum standards for backups and security. Servers that do not meet minimum standards will be upgraded at Client's expense. WFP does not accept projects that involve work on servers that were installed by third parties.
WFP employees receive training annually in Accessibility, Professional Ethics & Confidentiality, HIPAA, ITAR and EAR Compliance.
WFP charges Texas Use Tax for "Software License" fees, eighty percent of "Software as a Service" fees and eighty percent of "Website Related Services" fees to non-exempt, Texas-based companies.
Client acknowledges that they obtain substantially reduced costs through license-free access to WFP's extensive code library and open source solution expertise. In return, Client assumes all risk up to and including an error on the part of a WFP employee. This means Client will be billed for all work, including fixing bugs due to communication errors, misunderstandings, typos or mistakes regardless of whether fault is on side of the Client or the WFP programmer.
Client may be terminated for late payment; abusing phone, emergency or after-hours support; refusing critical recommendations or any other reason at WFP's sole discretion.
Client may discontinue WFP Service at any time. WFP is proud of its client retention rate. However, if Client desires to move on, WFP will be happy to help Client's new provider get oriented with the work WFP has done.
Client accepts ownership of all software not already under license that is purchased under "Contract Programming Services".
